Terms and Conditions

These Terms and Conditions govern the use of zencocoa.com and commercial transactions with PT Brilian Zenco Agroindo for B2B cocoa powder supply and export activities.

1. Scope

These terms apply to inquiries, quotations, sample requests, purchase orders, and shipments unless otherwise agreed in a signed contract.

2. Product Information and Specifications

All product specifications, including fat content, pH range, color profile, and application suitability, are provided based on available production data and batch standards.

3. Quotations and Order Confirmation

Quotations are non-binding until purchase order confirmation by both parties.
Price, MOQ, lead time, and Incoterms are stated in the official quotation or proforma invoice.
Any change in order scope may affect price and delivery schedule.

4. Payment Terms

Payment terms are defined in the quotation/proforma invoice. Production and shipment are subject to agreed payment milestones.

5. Delivery, Shipping, and Risk Transfer

Delivery terms follow agreed Incoterms (for example FOB, CFR, or CIF). Risk transfer and responsibility are determined by the chosen Incoterm and shipping documents.

6. Inspection, Claims, and Non-Conformity

Buyer should inspect goods upon arrival. Any claim related to quantity, quality, or packaging must be submitted in writing with supporting evidence within the claim period stated in the contract or shipping documents.

7. Compliance and Export Documents

We provide export-related documents based on agreed scope and destination requirements, such as COO, phytosanitary, health certificate, COA, and MSDS where applicable.

8. Limitation of Liability

To the maximum extent permitted by law, PT Brilian Zenco Agroindo is not liable for indirect, incidental, or consequential damages arising from product usage, delays due to external factors, or force majeure events.

9. Intellectual Property

All website content, branding, and technical materials remain the property of PT Brilian Zenco Agroindo unless otherwise stated.

10. Governing Law

These terms are governed by the laws and regulations applicable in Indonesia, unless otherwise agreed in a separate written contract.
